Distance Sales Agreement

Sales terms for an İzin360 subscription bought as a sole proprietorship, including the rights that apply where the buyer is regarded as a consumer.

Last updated: Version: 2026-10-11

1. Scope

Convenience translation: this English version is provided for information only. The Turkish version is the binding text and prevails in case of any discrepancy.

Important: İzin360 is a service for businesses. This Agreement is presented at the payment step to a BUYER purchasing as a sole proprietorship and is concluded with the BUYER's acceptance. Consumer-specific rights (withdrawal, termination and refund for subscriptions, consumer arbitration committees and consumer courts) apply only where the BUYER is a consumer within the meaning of Consumer Protection Law No. 6502, i.e. buys the service for non-commercial and non-professional purposes.

In all cases the Terms of Service also apply; provisions conflicting with this Agreement are interpreted in favour of the consumer if the BUYER is a consumer.

BUYER: the person identified by the full name or trade name, Turkish ID or tax identification number, tax office, address and e-mail address declared in the billing details at the payment step. The BUYER accepts that the details declared are accurate.

3. Subject matter

The subject matter of this Agreement is the parties' rights and obligations under Law No. 6502 and the Distance Contracts Regulation regarding the sale and performance of the İzin360 subscription service that the BUYER buys electronically through the application on the SELLER's website. The package, its included users, any extra users and the subscription period (1 month or 1 year) purchased are shown in the order summary. Extra users bought during the period are part of the same service and subject to this Agreement.

The service is a cloud-based software service for managing employee leave requests, approvals, balances and reporting over the internet. An internet connection and an up-to-date web browser are sufficient; no software installation is needed.

4. Price and payment

  • Package prices and per-user extra-user prices (only on the Starter, Growth and Pro packages) are published excluding VAT, in Turkish lira; the total price per period (monthly or annual) including VAT (20%), with extra users on a separate line, is shown in the order summary before card details are entered. There are no delivery or additional communication costs.
  • An increase in extra users during the period is charged pro rata for the remaining days (extra users added × extra-user period price × remaining days ÷ total days in the period, plus VAT) on a separate invoice and takes effect when payment is confirmed.
  • Payment is taken in advance in a single payment by credit or debit card through the licensed payment institution PayTR Ödeme ve Elektronik Para Kuruluşu A.Ş. The SELLER never sees or stores card details.
  • The official invoice is issued electronically within 7 days of payment confirmation at the latest and sent to the BUYER's invoice e-mail address.
  • Price increases are notified to the BUYER by e-mail at least 30 days before they take effect, stating the old and new prices and the effective date; the price of the current period does not change and each renewal is made at the price in force on the date the new period starts. If an increase has been announced, the new price and whether the first renewal will be at the new price are additionally shown in the order summary.

5. Performance of the service

The service is performed electronically by activating it in the BUYER's account immediately after PayTR confirms the payment; there is no physical delivery. If activation fails due to a technical problem, the SELLER informs the BUYER and either activates the service or refunds the price collected.

6. Right of withdrawal

A consumer BUYER has, as a rule, the right to withdraw from the contract within 14 days of its conclusion without giving any reason and without paying a penalty.

When the right of withdrawal does not apply: under Article 15(1)(h) of the Distance Contracts Regulation, the right of withdrawal does not apply to services whose performance begins with the consumer's approval before the withdrawal period ends, and under Article 15(1)(ğ) to services performed instantly in electronic form. At the payment step the BUYER expressly approves that performance of the service begins immediately upon payment confirmation and states that it knows it therefore has no right of withdrawal; this approval is recorded with the accepted version of the Agreement, the time and the IP address. Once the service is activated in the account, the right of withdrawal cannot be exercised. When extra users are bought during the period, the sales documents and the immediate-performance approval are also obtained again before payment and the same rule applies.

If performance began without this approval, the BUYER may exercise the right of withdrawal within the period by written notice to [LEGAL_EMAIL], to the KEP address [LEGAL_KEP_ADDRESS] or to [LEGAL_ADDRESS]. The SELLER refunds the total price collected within 14 days of receiving the notice, using the payment instrument the BUYER used and without charging the BUYER any costs.

7. Subscription, renewal and termination

  • The subscription is for the selected fixed period (1 month or 1 year). It does not renew automatically at the end of the period: the SELLER sends a renewal payment notice for the next period for the package and the number of extra users valid for the new period at the current unit prices (due within 7 days) and the subscription is extended only when the BUYER pays it, i.e. with the BUYER's approval (Law No. 6502 Art. 52(3)). If it is not paid, the subscription is not extended and no fee for the new period is claimed from the BUYER; the account is first restricted, then suspended and, if no payment is made within 60 days of the suspension, closed after notices sent 30 and 7 days before closure.
  • The BUYER can cancel the subscription at any time by the same method used to conclude it, i.e. in the billing settings in the app; cancellation ends the package and the extra users together at the end of the period and the BUYER can use the service until then. Closing the account also takes effect at the end of the paid period unless the BUYER chooses to close immediately by explicitly confirming that the remaining time is not refunded. A reduction in extra users is free of charge and takes effect at the end of the period; there is no partial refund for the rest of the period.
  • A consumer BUYER may terminate the subscription if the SELLER changes the contract terms during the subscription period; in that case the part of the fee paid for the unused period is refunded without deduction within 15 days of the date on which the termination takes effect (Law No. 6502 Art. 52(4)–(5)). The termination notice may be given in writing or on a durable medium (e.g. e-mail).
  • After the subscription ends, the BUYER can export its data for 90 days and reopen its account with its data by buying a new package; the data is then deleted. Details are set out in the Cancellation, Refund and Delivery Terms.

8. Obligations of the parties

  • The SELLER provides the service in accordance with the characteristics stated in the order summary and the Terms of Service.
  • The BUYER uses the service in accordance with the law and the Terms of Service and keeps its account details confidential.
  • Information on the processing of personal data is set out in the KVKK Privacy Notice.

9. Complaints and dispute resolution

The BUYER can send complaints and requests to [LEGAL_EMAIL]. A consumer BUYER may apply to the consumer arbitration committee at its place of residence or where the consumer transaction took place within the monetary limits announced each year by the Ministry of Trade, and to consumer courts for disputes above those limits; in the cases provided by law, mediation is mandatory before filing a lawsuit. For a BUYER who is not a consumer, the jurisdiction clause in the Terms of Service applies.

10. Conclusion, acceptance and records

Before confirming the order, the BUYER separately confirms at the payment step that it has read the Pre-Contractual Information Form. This Agreement is concluded when the BUYER accepts it at the payment step and starts the payment with the "Confirm order and pay" button; entering card details and confirming the payment creates a payment obligation.

The SELLER records the accepted document version, the SHA-256 digest of the accepted text, the time of acceptance and the IP address; it archives the accepted text as it stood at the time of acceptance and keeps every version it publishes. Once the payment is confirmed, the SELLER sends an order confirmation without delay to the BUYER's invoice e-mail address and to the user who started the payment; the accepted versions of this Agreement, the Pre-Contractual Information Form and the Terms of Service are attached as PDF files (delivery of the subscription contract on a durable medium under Law No. 6502 Art. 52(2)). The current texts are also published on these pages with version numbers and the BUYER can also request a copy of the accepted version at [LEGAL_EMAIL]. Transaction records are kept for the periods prescribed by law.
